Powerland ATV operates on a D2C (Direct-to-Consumer) business model, where vehicles are shipped directly to customers in crate packaging in a semi-knocked-down (SKD) condition. The vehicles are designed for DIY (Do-It-Yourself) customer assembly. We strongly encourage you to carefully read our Terms & Conditions before placing a pre-order to ensure that you fully understand all product, assembly, payment, and delivery details.

PLEASE READ THIS AGREEMENT CAREFULLY
This Pre-Order Agreement ("Terms" or "Agreement") governs the placement of a preorder ("Preorder") with Powerland for a Powerland electric ATV ("Vehicle").
By placing a Preorder and paying the applicable Preorder Deposit, you acknowledge that you have read, understood, and agreed to these Terms.
By submitting a Preorder and paying the applicable Preorder Deposit, you are requesting a production position for a future Powerland Vehicle.
Unless expressly stated otherwise, a Preorder does not constitute a final purchase agreement for a specific Vehicle.
Before delivery, Powerland may require you to enter into a separate Vehicle Purchase Agreement containing the final terms applicable to your configured Vehicle.
The final purchase agreement may contain the final vehicle price, applicable taxes, shipping charges, optional equipment, accessories, delivery terms, warranty terms, and other applicable conditions.
Your Preorder becomes effective when Powerland accepts the Preorder and the applicable payment has been successfully processed.
To place a Preorder, you must:
If you place a Preorder on behalf of an organization, you represent that you have authority to bind that organization.
Powerland may decline or cancel a Preorder that does not satisfy these requirements.
The applicable Preorder Deposit amount will be displayed during the Preorder process.
By submitting a Preorder, you authorize Powerland or its designated payment processor to charge the payment method you provide.
The Preorder Deposit may be applied toward the purchase price of the Vehicle if you subsequently complete the vehicle purchase, subject to the applicable purchase agreement.
Note: Powerland should insert the exact deposit amount and whether it is refundable or non-refundable here before publishing this Agreement.
Cancellation and refund treatment is governed by the Powerland Cancellation & Refund Policy.
Depending on the stage of the order, production status, applicable payment-processing charges, and applicable law, some or all of a Preorder Deposit may be refundable or non-refundable.
Nothing in this Agreement limits a refund right that is required by applicable law.
Powerland vehicles may be in development, preproduction, or production depending on the Vehicle and configuration.
Vehicle specifications, battery capacity, range, features, equipment, options, accessories, dimensions, colors, and other characteristics may change before final purchase.
Pricing displayed at Preorder may not include:
The final price applicable to the Vehicle will be stated in the applicable purchase agreement.
Delivery timing may depend on:
Estimated delivery dates are not guaranteed.
Production and delivery may be affected by supply-chain conditions, component shortages, regulatory approvals, logistics disruptions, customs, weather, government actions, labor disputes, force majeure events, or other circumstances beyond Powerland's reasonable control.
Powerland will communicate material changes to expected delivery timing when reasonably practicable.
As production and delivery approach, Powerland may request confirmation of:
Before delivery, you may be required to execute Powerland's applicable Vehicle Purchase Agreement.
The Preorder Deposit may be applied toward the purchase price in accordance with that agreement.
Powerland vehicles are sold using a direct-to-consumer model.
The Vehicle may be shipped directly to the customer in crate packaging with major components pre-assembled.
The customer is responsible for completing final assembly according to Powerland's Owner's Manual and assembly instructions.
Powerland may provide remote assembly guidance and technical support.
Improper assembly may affect safety, performance, or warranty coverage where damage results from incorrect assembly.
You may request cancellation of your Preorder before execution of the final Vehicle Purchase Agreement.
Cancellation and refund eligibility will be determined under Powerland's Cancellation & Refund Policy and applicable law.
The amount refunded, if any, may depend on the stage of processing and production at the time Powerland receives the cancellation request.
Powerland may cancel a Preorder for reasons including:
If Powerland cancels a Preorder, any eligible refund will be processed according to the Cancellation & Refund Policy.
Unless Powerland provides express written authorization, Preorders are intended for the customer's own use.
Powerland may cancel a Preorder if it reasonably determines that the customer placed the Preorder for unauthorized resale or other commercial purposes.
A Preorder may not be assigned or transferred to another person without Powerland's prior written consent.
Powerland provides direct technical support rather than requiring customers to rely exclusively on a traditional dealership service model.
Technical support may include:
Powerland may request diagnostic information or remote access to vehicle diagnostic systems when necessary to troubleshoot a technical issue.
The applicable Powerland Limited Warranty governs warranty coverage.
The Warranty Policy is separate from this Preorder Agreement and controls warranty claims, covered components, exclusions, limitations, and claim procedures.
Any dispute relating to this Preorder or Agreement shall first be addressed through good-faith informal negotiations.
If the dispute cannot be resolved informally, the dispute shall be resolved through binding arbitration to the fullest extent permitted by applicable law, except where a claim may lawfully be brought in court.
Note: The final arbitration provider, rules, notice procedure, location, fee allocation, and class-action waiver should be finalized by U.S. counsel before publication.
This Agreement shall be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where applicable law provides otherwise.
To the fullest extent permitted by law, Powerland shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the Preorder.
Subject to applicable law, Powerland's liability relating to the Preorder shall be limited to the amount paid by the customer in connection with the Preorder.
Powerland shall not be responsible for delays caused by events beyond its reasonable control, including:
If such an event materially affects production or delivery, Powerland may extend the applicable delivery timeline for a reasonable period.
Any refund rights required by applicable law or provided under the Cancellation & Refund Policy remain unaffected.
Information provided in connection with a Preorder will be handled in accordance with Powerland's Privacy Policy.
Powerland's Terms & Conditions also apply to your use of the Website.
This Preorder Agreement, together with the Powerland Privacy Policy, Terms & Conditions, Cancellation & Refund Policy, and applicable Warranty Policy, constitutes the agreement governing your Preorder unless superseded by a later written Vehicle Purchase Agreement.
Powerland reserves the right to modify these Terms.
If Powerland makes a material change that adversely affects existing Preorders, Powerland will provide notice where required by applicable law.
